Terms of Service

These Terms of Service ("Terms") govern your access to and use of EquipFlow (the "Service"), operated by EquipFlow ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

EquipFlow is a learning management system designed for churches and faith-based organizations. The Service allows administrators to create and publish courses, assign them to members, and track completion. The Service optionally integrates with Planning Center (a product of Ministry Centered Technologies) to synchronize member data, automate course assignments, and write completion data back to Planning Center records.

2. Accounts and Organizations

Each organization that uses EquipFlow ("Tenant") has an isolated account. You are responsible for maintaining the security of your account credentials. You must not share your account access or allow unauthorized users to access the Service under your account.

You agree to provide accurate, current, and complete information when creating an account and to keep that information updated.

3. Acceptable Use

You agree not to use the Service to:

  • Upload, publish, or transmit content that is unlawful, harmful, abusive, harassing, defamatory, or otherwise objectionable
  • Violate any applicable law or regulation, including privacy laws and export control laws
  • Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to send unsolicited communications (spam)
  • Reverse engineer, decompile, or disassemble any portion of the Service

4. Content Ownership and License

You retain ownership of all content you upload or create within the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive, royalty-free license to host, store, and display Your Content solely for the purpose of providing the Service to you.

You represent that you have all rights necessary to grant this license, and that Your Content does not infringe the rights of any third party.

5. Planning Center Integration

If you connect your Planning Center account to EquipFlow, you authorize us to access, read, and write data in your Planning Center organization on your behalf, including but not limited to: people records, groups, workflow steps, and custom field data. This access is governed by the permissions you grant through the Planning Center OAuth flow.

We are not affiliated with or endorsed by Ministry Centered Technologies, the maker of Planning Center. Your use of Planning Center is separately governed by Ministry Centered Technologies' terms of service.

6. Email Communications

The Service sends transactional emails (invitation links, magic login links, course assignment notifications) via Resend, our email delivery provider. By using the Service, you consent to receiving these transactional emails. You may opt out of non-essential communications at any time by contacting us.

7. Data Processing

We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

If you use EquipFlow to process personal data of individuals in the European Union or United Kingdom, you acknowledge that you are the data controller for your members' data and we act as a data processor on your behalf. Contact us to request a Data Processing Agreement if required for your compliance obligations.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, upgrades, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

9. Fees and Payment

Some features of the Service may require a paid subscription. If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as otherwise stated in our refund policy.

10. Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your access to the Service at our discretion, including for violation of these Terms, non-payment of fees, or if we determine that continued access would be harmful to the Service or other users.

Upon termination, your right to access the Service ends immediately. We will retain your data for 30 days following termination to allow for account recovery, after which it will be deleted in accordance with our Privacy Policy.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or by sending an email to the address associated with your account. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
